Welcome to recircleimpact.com! These Terms and Conditions ("Terms") govern your use of the recircleimpact.com mobile application and website (collectively, the "Service"), operated by ReCircle Impact UG ("Company," "we," "us," or "our"), with its registered address at Gemsenpfad 21a, 13503 Berlin, Germany.

By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

1. Description of the Service

The Service allows you ("User," "you") to create a private digital inventory of your personal items. You can take photographs of your items, and our Service uses artificial intelligence (AI) to identify and catalog them. Based on the items in your inventory, the Service provides recommendations for third-party platforms and services ("Third-Party Services") that can help you sell, rent, donate, repair, or dispose of your items. The Service itself does not perform these actions but acts as a bridge to external platforms.

2. User Accounts

• Registration: You must create an account to use the Service. You can register using Google Sign-In, Apple Sign-In, or by providing an email address for one-time password (OTP) verification. You agree to provide accurate and complete information and to keep this information updated.
• Age Requirement: You must be at least 16 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement.
• Account Security: You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Use of the Service

• Free Service and Limits: The Service is offered free of charge, subject to certain usage limits (e.g., a monthly limit on the number of items you can process). We reserve the right to change these limits at our discretion.
• License to Use: We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your personal, non-commercial use in accordance with these Terms.

4. User Content and Data

• Your Content: You retain all ownership rights to the photographs and other content you upload to the Service ("User Content"). Your inventory is private and will only be visible to you through your account.
• License to Us: To operate and improve the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, process, adapt, and display your User Content solely for the purpose of:
  • Providing the AI-powered inventory creation feature.
  • Displaying your inventory to you within the app.
  • Generating recommendations for Third-Party Services.
  • Anonymously, for improving our AI models and service performance.
• Data Sharing with Third-Party Services: To facilitate recommendations, you may choose to share certain details about yourself or your items with Third-Party Services. This action is initiated by you. We will only share data with your consent or at your direction. The handling of your data by these third parties is governed by their respective privacy policies. Please refer to our Privacy Policy for detailed information on our data practices.

5. Prohibited Conduct

You agree not to use the Service to:

• Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, or otherwise objectionable.
• Upload images of items you do not own or have the right to possess (e.g., illegal substances, weapons where prohibited, stolen goods).
• Infringe upon any third party's intellectual property rights, including copyright and trademarks.
• Attempt to disrupt, damage, or gain unauthorized access to the Service, its servers, or any connected network.
• Use any automated system, such as "bots" or "scrapers," to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.
• Reverse-engineer, decompile, or otherwise attempt to discover the source code of the Service.

We reserve the right to suspend or terminate your account without notice for any violation of these rules.

6. Third-Party Services

Our Service provides recommendations and links to Third-Party Services. You acknowledge and agree that:

• No Endorsement: We do not control or endorse and are not responsible for any content, products, or services offered by these third parties.
• No Liability: Your interactions and any transactions with these Third-Party Services are solely between you and the third party. We are not liable for any loss or damage of any sort incurred as the result of any such dealings.
• Third-Party Terms: Your use of Third-Party Services will be governed by their own terms and conditions and privacy policies. We strongly advise you to review them before engaging with their services.

7. Future Paid Services

The Service is currently provided free of charge. We reserve the right to introduce paid features or subscription plans in the future. Should we do so, we will provide you with clear and timely information about the pricing and payment terms before you are required to pay for any service.

8. Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content), including our brand, logo, software, and content, are and will remain the exclusive property of ReCircle Impact UG and its licensors.

9. Disclaimers and Limitation of Liability

• "AS IS" Service: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranty that the Service will be uninterrupted, error-free, secure, or that the AI-generated inventory data will be 100% accurate.
• Limitation of Liability: To the maximum extent permitted by applicable law (especially German law), in no event shall ReCircle Impact UG, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service or your interactions with Third-Party Services. Our total liability to you for any and all claims related to the Service shall not exceed fifty euros (€50).

10. Termination

You can stop using our Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without cause or notice, for reasons including, but not limited to, a breach of these Terms.

11. Changes to the Terms

We reserve the right to modify these Terms at any time. We will provide you with reasonable notice of any material changes, for example, by posting the new Terms on the Service or sending you an email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.
• Jurisdiction: Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Berlin, Germany.
• EU Online Dispute Resolution: If you are a consumer residing in the EU, you may access the European Commission's online dispute resolution platform here: http://ec.europa.eu/consumers/odr.
